The Blues opened the scoring on 39 minutes when Wayne Fitzgerald's half-volley from eight yards gave Mike Heath no chance.
The visitors equalised on 51 minutes through Stephen O'Flynn, but they then lost Mike Kerley when he was sent off on 90 minutes.
Waterford regained the lead five minutes into extra-time when Pat Purcell took down Joe Watson and Kelvin Flanagan scored from the spot. With three minutes remaining, an Eoin Poill free was headed into his net by Paul Leahy.
