Tyco International, whose board has been criticized for being lax under former chairman Mr Dennis Kozlowski, said today that two directors, Lord Michael Ashcroft and Mr James Pasman, have resigned.

They will be replaced by a former IBM CFO and the chairman of VF Corporation.

The resignation of the two veteran directors is an expected part of Tyco's plan to replace the nine directors who served during Kozlowski's 10-year reign.

Mr Ashcroft and Mr Pasman will be replaced by Mr Jerome York, a former IBM finance chief, and Mr Mackey McDonald, chairman and CEO of VF Corp.

Mr York currently serves as chief executive of Micro Warehouse which resells computer products.

Tyco has been in turmoil all year, dogged by worries over its accounting and the criminal charges against three former senior executives.

Mr Kozlowski and former Tyco finance chief Mr Mark Swartz are charged with looting $600 million from Tyco through unauthorized compensation and stock sales.
